Yes write up a ToS and adhere strictly to it so you can be like "Sorry, those are the terms. My manager/lawyer says I can't make acceptations for legal/tax reason. Nothing I can do, so sorry!"
It's pretty common to get full payment after the client is happy with a rough sketch, but before doing any real time consuming work. So make sure to write something like that in.
